    These terms explain the rules for using Vantrel, how subscriptions and platform access work, and the standards expected from every user. They are meant to be read alongside the Privacy Policy and Refund Policy so the commercial and legal terms are clear in one place.

    1. Introduction and Acceptance

    These Terms of Use govern your access to and use of Vantrel at vantrel.io, including associated web applications and platform features. By creating an account, purchasing a subscription, or using the platform, you agree to be bound by these Terms, the Privacy Policy, and the Refund Policy.

    2. Who We Are

    Vantrel Technologies Limited is a certification readiness platform operated from Lagos, Nigeria. Legal notices may be sent to legal@vantrel.io. User support is available at support@vantrel.io.

    3. Eligibility and Accounts

    • You must be at least 18 years old to use the platform.
    • You must provide accurate information and keep your account details up to date.
    • Accounts are single-user and non-transferable.
    • You are responsible for all activity under your account credentials.

    4. Subscription Plans and Billing

    Vantrel offers individual and enterprise access models, including:

    • Single Exam Monthly
    • Single Exam Annual
    • All-Access Monthly
    • All-Access Annual
    • Enterprise or Group access, by separate agreement

    Billing currencies, applicable taxes, and any processor or FX components are shown at checkout. Amounts shown at checkout are authoritative for that transaction.

    5. Auto-Renewal and Cancellation

    Paid subscriptions auto-renew at the end of each billing cycle unless cancelled before renewal. You can cancel in account settings or by contacting support. Cancellation stops future renewals and does not automatically create a refund for the current paid period.

    6. Payments and Failed Charges

    Payments are processed through Flutterwave. Vantrel does not store full card numbers.

    If a payment fails, retry attempts may occur over a limited period. Access may be suspended until payment is resolved, and chargebacks or abusive payment disputes may result in account restrictions or termination where permitted by law.

    7. AI-Powered Features

    Vantrel Tutor, Vantage Score, adaptive features, and related AI functionality are AI-assisted educational tools. Outputs may contain errors and are not legal, financial, medical, or professional advice. You should verify critical points against official certification materials.

    Vantrel does not guarantee exam outcomes or certification results.

    8. Intellectual Property

    All platform content, including question banks, mock exams, explanations, AI outputs, analytics, and software, is owned by Vantrel or its licensors and protected by intellectual property law.

    You may not copy, redistribute, scrape, reverse engineer, or commercially exploit platform content.

    9. Prohibited Conduct

    • No unlawful use or misuse of platform content.
    • No credential sharing or unauthorized account access.
    • No malicious code, abuse, impersonation, or automation abuse.
    • No attempts to bypass security, entitlement, payment, AI-credit, or usage controls.
    • No scraping, bulk extraction, or model-training use of platform content or outputs without written authorization.

    9A. Referral Program Abuse

    • Self-referral: Using your own referral code to generate commissions for purchases you make, or using a code shared by a household member, business partner, or closely associated account, is prohibited. Commissions detected as self-referral are forfeited.
    • Artificial conversion generation: Creating multiple accounts, fake signups, or coordinated fraudulent transactions to inflate referral metrics. Such activity will result in commission forfeit and potential account suspension.
    • IP farming and bot automation: Using automated tools, bots, VPNs, or proxy networks to generate false impressions or referral clicks. This is considered abuse and may trigger fraud investigation and suspension.
    • Code overuse exploitation: Repeatedly sharing the same referral code to unrelated audiences or using paid advertising to artificially inflate conversions is flagged for manual review.
    • Commission chargeback disputes: Initiating payment disputes, chargebacks, or false refund claims after receiving payout disbursement will result in account suspension and potential legal action.

    10. Referral Program Terms

    10.1 Partner Eligibility

    • You may join the Vantrel Referral Program by submitting an application through the admin dashboard.
    • Eligibility requirements include age 18 or above, valid email, complete KYC verification, and no prior suspension for Terms violations.
    • Vantrel reserves the right to reject applications or revoke partner status at its discretion for compliance, legal, or business reasons.

    10.2 Referral Code and Attribution

    • Upon approval, you receive a unique referral code assigned to your account.
    • When a user completes a purchase using your code, that user is recorded as referred and a conversion record is created.
    • Attribution is final at the time of purchase. Conversions cannot be reassigned or disputed after transaction settlement.

    10.3 Commission Structure

    • Commission rates are set by Vantrel and may vary by partner, campaign, code, exam track, or period as shown in approved partner settings.
    • The commission rate is snapshot-locked at the moment of conversion for each qualifying transaction.
    • Commissions are calculated on the qualifying transaction value defined by referral program rules, including treatment of discounts, reversals, taxes, and processor-level adjustments.
    • Commission is earned when a referred user completes checkout and payment is confirmed and not refunded.

    10.4 KYC Verification Requirement

    • Payouts are only available to partners who have completed Know Your Customer verification.
    • KYC requires legal name, date of birth, ID number, address verification, and banking information.
    • Vantrel uses third-party KYC providers to verify identity. Unverified partners cannot receive disbursements.
    • False or fraudulent KYC submissions will result in account suspension and permanent ineligibility.

    10.5 Payout Schedule and Processing

    • Payouts are processed in periodic payout batches under the referral program rules, subject to eligibility checks and processing timelines.
    • A minimum payout threshold may apply and is determined by current referral program settings.
    • Payouts are processed in the currency designated by the partner's payout destination, subject to provider and jurisdiction availability.
    • Vantrel uses third-party payment rails, including Flutterwave, for disbursements. Provider fees, processing times, and FX differences may apply.
    • Partners can track payout status in the admin dashboard.

    10.6 Commission Hold and Refund Reversal

    • Commissions are placed on hold for 14 calendar days from conversion date.
    • If a referred user requests and receives a refund within the 14-day hold period, the referring partner's commission is reversed and cancelled.
    • After 14 days, commissions generally become payout-eligible, but may still be adjusted for verified fraud, chargebacks, legal requirements, or manifest calculation error.

    10.7 Suspension and Termination

    Vantrel may suspend or terminate your referral partner status for:

    • Fraud detection, including self-referral, duplicate conversions, IP farming, or chargebacks
    • Unresolved high-risk fraud flags
    • KYC verification failure or false information
    • Terms of Use violations or prohibited conduct
    • Regulatory or compliance requirements

    Upon suspension, pending payouts are held pending investigation. Resolved payouts are not reversed. Termination is permanent unless Vantrel explicitly offers reinstatement.

    10.8 Commission Disputes

    • Commission disputes must be reported within 30 days of the transaction.
    • Vantrel payout records are authoritative. Disputes require supporting evidence such as receipt, screenshot, or correspondence.
    • Chargebacks or payment disputes after payout disbursement may result in suspension, offset against future payouts, or recovery actions where lawful.

    11. Disclaimer of Warranties

    To the maximum extent permitted by law, the platform is provided as is and as available without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

    12. Limitation of Liability

    To the maximum extent permitted by law, Vantrel is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of the platform.

    Vantrel aggregate liability is capped at the total fees you paid in the 12 months preceding the claim event. This cap does not apply where liability cannot be lawfully excluded, and nothing in these Terms limits mandatory statutory consumer rights.

    13. Suspension and Termination

    Vantrel may suspend or terminate access for security risk, Terms violations, legal requirements, or non-payment. You may terminate by canceling your subscription.

    14. Governing Law and Disputes

    These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall first be subject to state arbitration in Lagos, Nigeria, followed by final resolution through the courts of Lagos State, subject to mandatory consumer-law protections in your jurisdiction.

    The parties should first attempt good-faith resolution for 30 days after written notice before formal proceedings.

    15. Changes to Terms

    Vantrel may update these Terms. Material updates will be announced before taking effect. Continued use after the effective date of an update means you accept the revised Terms.
